ABI

The Association of British Insurers

 

admission/ admitted

admission of any class of securities to AIM effected by a dealing notice under rule 6 of the AIM Rules

 

admission document

a document produced in connection with admission

 

AIM

a market operated by the LSE

 

broker

a member firm which is appointed by an AIM company pursuant to rule 35 of the AIM Rules

 

CREST

the electronic settlement system for UK and Irish securities operated by Euroclear. It offers firms and individual investors the opportunity of holding securities in uncertificated form and transferring them electronically

 

DIs/depositary interests

UK securities representing an underlying interest in an overseas security, issued on a one-for-one basis

 

equity fundraising

a method of raising capital via the issue of shares in the business to investors, usually for the medium to long-term, whereby those investors receive share of the ownership and, sometimes, an element of control of the business

 

feeder funds

funds that are specifically created to invest in a single private equity fund

 

FSA

The UK Financial Services Authority

 

IPO

an initial public offering, whereby a company offers securities to the public for the first time and obtains a first listing for its securities on an exchange

 

listed

Admitted to the Official List of the United Kingdom by the Competent Authority for the United Kingdom.

Nomad/ nominated advisor

 

an adviser for companies listed on AIM that is approved by the LSE
Prospectus Rules

The Prospectus Rules published by the FSA from time to time

 

reverse takeover

a takeover or acquisition where the result of the transaction is that the shareholders selling shares in the target company become the holder of the majority of shares in the acquiring company immediately following the acquisition.

 

secondary fundraisings

an issue of shares by a company whose shares are already listed and traded on a stock exchange, these would include rights issues, open offers, placings and vendor placings
